Branding & Marketing License Agreement

Company Name: Universal Energetic Dynamics BV, hereinafter referred to as UED BV

Client, hereinafter referred to as “You”

You grant us all rights, including those from third parties, confirming that the content is appropriate and free from defamation. You indemnify UED BV from any liability and promise never to take legal action for the use of the content as described.

UED BV is authorized to film with audio and video, hereinafter referred to as content. UED BV remains the owner of the content, is allowed to edit it, and may use it on websites, apps, email, and any media channels for promotional purposes. UED BV may capture, edit, use, and publish the following, including:

  • Company name, including text, slogan, logo, supplied photos, and visual materials

  • Company infrastructure and vehicles

  • Personal name and biographical material

  • Parties involved and/or collaborating as designated by You


1. You confirm that you are over 18 years old.


2. You represent and warrant that you:

  • Own and control all rights, titles, and interests in the content you license, or otherwise have all rights, permissions, and approvals needed to post and use such content (including, but not limited to, rights to names, images, visual materials, documentation, and likenesses of third parties referenced or appearing in the content).

  • Have all rights to provide UED BV and its partners, employees, agents, representatives, licensees, and assigns with the license and rights outlined in Section 4 below.

  • Comply with all applicable laws and regulations regarding the acquisition and/or production of content. For the purposes of this agreement, “content” means photos, text, images, video, audio, illustrations, or other materials (including any associated biographical data, metadata, or location information) (collectively, “Content”). Content also includes any profile information you grant UED BV access to on third-party social platforms (such as LinkedIn, YouTube, Instagram, Twitter, and Facebook) in accordance with the authorization procedures set by the platform.


3. You hereby grant UED BV a non-exclusive, royalty-free, worldwide, perpetual, irrevocable, fully sublicensable license to use, reproduce, modify, adapt, publish, translate, create derivative works of, distribute, perform, and display the content you provide, in whole or in part, on UED BV social media accounts, on or in any UED BV digital platforms (including websites, blogs, apps, and email), including third-party websites and apps for any purpose, including promotional and public purposes.

For clarity and without limitation, this license explicitly includes your consent for UED BV to use and publicly display your name, image, persona, and likeness. Nothing in this license transfers ownership of the content to UED BV. Nothing in this license requires UED BV to use or publish your content in a specific way, on a specific platform, or at all.
 

4. Any statements, remarks, or claims in your content reflect your honest opinions and experiences. When you depict or reference brands, products, or services, you acknowledge any material connections you may have with other brands or third-party sellers. You also agree to provide supporting information or documentation related to these statements, remarks, claims, opinions, and experiences upon request.
 

5. You understand that you will not receive payment for UED BV’s use of the content as described in this License Agreement. Each party bears its own costs related to this agreement unless explicitly agreed otherwise in writing or digitally.


6. You agree to take any action reasonably requested by UED BV (including providing documents) to verify or provide evidence of the representations, licenses, and rights set forth in this License Agreement.

 

7. You agree not to provide content that:

  • Infringes any patent, trademark, trade secret, copyright, or other intellectual or proprietary rights of others

  • Contains unlawful, defamatory, obscene, indecent, suggestive, violent, disruptive, threatening, offensive, inflammatory, fraudulent, or otherwise objectionable material

  • Describes, encourages, or demonstrates the use of a product or service in a way that may be harmful, inappropriate, or offensive to UED BV or others

  • Violates the public, privacy, or data protection rights of others, or contains false or misleading statements, claims, or depictions about a person, company, product, or service

Without limiting the above, you also confirm that in producing your content: you have not caused emotional harm or abuse to others; you have not humiliated, attacked, stalked, or threatened anyone; you have not used private property without permission; you have not impersonated another person or misrepresented your association, title, or authority; and you have not engaged in activities that could cause injury, death, property damage, or any form of liability.

UED BV may reject and/or remove content it reasonably believes violates these terms.


8. To the fullest extent permitted by law, you release, discharge, and hold harmless UED BV and its employees, contractors, sponsors, or other authorized persons from liability, claims, damages, judgments, costs, losses, or expenses (including reasonable attorney fees) arising from the publication or use of the content you provide or your name, image, likeness, persona, or other information related to such content. You also waive any rights to claims of infringement related to this license agreement.


9. This agreement constitutes the entire agreement between you and UED BV regarding the licensed content. If any provision of this License Agreement is deemed unreasonable or unenforceable by a court, you agree that the remaining provisions will still be enforced to the maximum extent allowed by law.


10. This agreement is governed by Belgian law. Any disputes arising from this agreement will be submitted to the competent courts of the Hasselt district, without prejudice to the parties’ right to bring the dispute before a relatively competent court based on the recipient’s place of residence.
